1. Acceptance of terms

These Terms of Service ("Terms") govern your access to and use of Calliva (the "Service"). By creating an account, logging in with Google, or using any part of the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

2. Eligibility

You may use the Service only if you are at least 18 years old (or the age of majority in your jurisdiction), have the legal capacity to enter into a binding contract, and are not prohibited from using the Service under applicable laws. If you use the Service on behalf of a company or organization, you represent and warrant that you have authority to bind that entity, and "you" refers to that entity.

3. Account registration and security

To use the Service, you must create an account using email and password or by signing in with a third-party provider such as Google. You agree to provide accurate and complete information, maintain the security of your credentials, promptly update your information as needed, and notify us immediately of any unauthorized use of your account. You are responsible for all activities that occur under your account.

4. Service description

Calliva provides tools to place and manage voice calls to phone numbers you specify, using integrated telephony providers. The Service may include features such as call analytics, call cost estimates, and a wallet for prepaying usage-based fees. We may add, modify, or discontinue features at any time.

5. Wallet, billing, and payments

5.1 Wallet balance

Your account may include a wallet balance used to pay for calls and other usage-based fees. You are responsible for monitoring your balance and topping up as needed. From time to time, we may offer promotional credits or launch bonuses. Promotional balances may be subject to additional terms, may expire, and are not redeemable for cash.

5.2 Pricing and charges

Pricing for calls and other usage-based features is based on factors such as destination, duration, and our then-current rate schedule. We may update pricing at any time, but new rates will generally apply only to future usage. We may provide estimated call costs; however, actual costs may vary slightly due to rounding, billing increments, or provider behavior.

5.3 Payment processing

Payments (including top-ups and subscription fees, if applicable) are processed by third-party payment processors. By submitting a payment method, you authorize us and our processors to charge that method for all applicable fees, taxes, and charges related to your use of the Service. You are responsible for any bank fees, exchange fees, or other charges imposed by your payment provider.

6. Acceptable use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or telemarketing rule
  • Harass, threaten, or abuse others, or invade their privacy
  • Send spam, robocalls, or other unsolicited or bulk communications in violation of anti-spam or telemarketing laws
  • Conduct fraud, phishing, or deceptive practices
  • Infringe or violate third-party rights, including privacy and intellectual property rights
  • Interfere with or disrupt the Service, its infrastructure, or our providers
  • Attempt to reverse engineer, decompile, or otherwise derive the source code of the Service, except as permitted by law

We reserve the right to investigate and, where appropriate, suspend or terminate accounts that we believe violate these Terms or present a risk to the Service or others.

7. Third-party services

The Service may rely on or integrate with third-party services, such as Google for authentication, telephony providers for call routing, and payment processors for billing. Your use of these services may be subject to their own terms and privacy policies, which you are responsible for reviewing. We are not responsible for the content, availability, or performance of third-party services.

8. Intellectual property

All right, title, and interest in and to the Service, including software, design, text, graphics, logos, and trademarks, are owned by Calliva or our licensors. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business or personal purposes.

You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service, or reverse engineer or attempt to extract the source code, except as permitted by law.

9. Termination

You may stop using the Service at any time. You may also request deletion of your account by contacting us. We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe that you have violated these Terms, present a risk to the Service or other users, or if we discontinue the Service.

Upon termination, your right to use the Service will cease immediately. We may delete or restrict access to your account data, subject to our legal retention obligations and our Privacy Policy.

10. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that call quality or cost estimates will always be accurate. Telephony quality and availability may depend on networks and providers outside our control.

11. Limitation of liability

To the fullest extent permitted by law, Calliva and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or business opportunities, arising out of or related to your use of (or inability to use) the Service, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amounts you paid to us for the Service in the three (3) months preceding the event giving rise to the claim, or (b) USD $100.

12. Indemnification

You agree to indemnify, defend, and hold harmless Calliva and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any law or third-party rights.

13. Changes to the Service and terms

We may modify or discontinue all or part of the Service at any time. We may also update these Terms from time to time. When we do, we will update the "Last updated" date at the top. Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the changes.

14. Governing law and disputes

These Terms are governed by the laws of the United States of America, without regard to its conflict-of-laws principles. Any disputes arising out of or relating to these Terms or the Service will be resolved in the courts located in the United States of America, unless applicable law requires a different venue.
